§ 1

General provisions

1. These terms and conditions (hereinafter: "Terms and Conditions") set out the rules of participation, including the conditions that must be met in order to participate in the Promotion "ZND Black Friday Earn Promotion: Double rewards" (hereinafter: "Promotion"). 

2. The organizer of the Promotion is: BB Trade Estonia OÜ with its registered office in Harju maakond, Tallinn, Lasnamäe linnaosa, Tähesaju tee 9, 13917 Estonia (office number 10), entered in the Register of Entrepreneurs under number 14814864, which is the operator of the zondacrypto exchange with the support of ZND.CO OÜ with its registered office in Tallinn at: Harju maakond, Tallinn, Lasnamäe linnaosa, Tähesaju tee 9 (office number 7), 13917, Estonia (hereinafter: "Organizer").

3. The tasks of the Promotion Organizer include ongoing supervision of the Promotion, including, in particular, determining whether there is a risk of violating the rules of the Promotion, as set out in these Terms and Conditions. 

4. The Organizer also uses definitions in these Promotion Rules that are consistent with the definitions contained in the rules available at https://zondacrypto.com/en/legal/zonda-exchange and https://znd.co/, to which reference is hereby made in this regard. In the event of any conflict between the provisions of the above-mentioned terms and conditions and these Terms and Conditions, the provisions of these Terms and Conditions shall apply.

5. For the purposes of these Terms and Conditions, the terms listed below shall have the following meanings:

1. Customer - a User who, through full verification of their Account on the Partner's Platform, intends to take advantage of the Promotion and comes from a country/region served by the Exchange, which must be clearly evident from the documents submitted during the verification process (KYC);

2. Digital Asset/Digital Assets - a digital representation of a given value or right, processed and stored in a virtual database, the integrity and correctness of which is secured by cryptographic methods. Digital Assets include, among others: cryptocurrencies, tokens, NFTs, contracts;

3. ZND Token - a utility token created by the Organizer. Details regarding functionality, issuance, and other relevant information can be found in the "ZND Token White Paper" available at: https://assets.znd.co/token/en/whitepaper.

4. Account - part of the Organizer's Platform available to the User or Customer after logging in, protected by a password and secured by two-factor authentication, constituting a resource of the User's or Customer's data and information about their activities on the Partner's Platform;

5. Organizer (or Organizers) - BB Trade Estonia OÜ with its registered office in Harju maakond, Tallinn, Lasnamäe linnaosa, Tähesaju tee 9, 13917 ESTONIA, registered in the register of entrepreneurs under number: 14814864, VAT number: EE102200164;

6. Controller (or Personal Data Controller) - Organizer; 

7. Organizer's Platform - an online platform available at the public internet address https://zondacrypto.com (hereinafter also referred to as: "zondacrypto Platform") and https://znd.co (hereinafter also referred to as: "ZND Platform"), as well as in the Mobile Application;

8. Mobile Application - the Partner's mobile application, available for download on mobile devices with the following operating systems:

1. Android - application called 'zondacrypto2.0: trade tomorrow' available in the Google Store at https://play.google.com/store/apps/details?id=com.zondacrypto.exchange&hl=en&pli=1,

2. iOS - mobile application called 'zondacrypto: trade tomorrow' (available in the App Store at https://apps.apple.com/pl/app/zondacrypto-trade-tomorrow/id6482290108?l=pl).

The Mobile Application installed on the Customer's mobile devices allows them to use the Partner's Platform within the iOS (iPhone) and Android operating systems;
 

9. Promotion - a promotional campaign conducted by the Organizer on the terms described in these Terms and Conditions;

10. Terms and Conditions - this document setting out the rules and technical conditions of the "ZND Black Friday Earn Promotion: Double rewards" Promotion;

11. Organizer's Terms and Conditions - terms and conditions for the provision of electronic services by the Organizer posted on the Organizer's Platform, available at https://zondacrypto.com/en/legal/zondacrypto-exchange and https://znd.co, in particular the Terms and Conditions of Service: https://zondacrypto.com/en/legal/zondacrypto-exchange/terms-and-conditions-of-service and the ZND Platform Terms and Conditions (https://assets.znd.co/agreements/en/platform-terms-and-conditions.pdf);

12. Registration - creation of an Account on the Organizer's Platform by the Participant.

13. Verification - a set of activities constituting the verification of the Account after Registration, consisting in particular of the correct completion of the electronic form available on the Partner's Platform, in accordance with the rules set out in the Partner's Terms and Conditions (in particular in the Terms and Conditions of zondacrypto Services);

14. Exchange - zondacrypto cryptocurrency exchange - https://zondacrypto.com/en/home.

6. The promotion may be shared for informational purposes by the Organizer via the following social media on the profiles/channels belonging to the Organizer indicated below (hereinafter referred to as: "Social Media"):

7. The promotion is addressed to individuals who:

• have registered and verified (or plan to, subject to § 2 point 4 of the Terms and Conditions) their customer/user accounts on the Organizer's platforms https://www.zondacrypto.com (hereinafter: "zondacrypto Platform") and https://znd.co (hereinafter: "ZND Platform"); (hereinafter collectively: "Platforms"), or 

• already had registered and verified customer/user accounts on the Platforms prior to the start of the Promotion. 

8. The Organizer emphasizes that the Promotion is not co-created, administered, or sponsored by Social Media.

9. The Promotion Organizer is the sole funder of the Promotional Prizes.

10. The Promotion does not constitute a cash lottery, raffle, promotional lottery, or any other game of chance or mutual betting within the meaning of Article 2 of the Act of November 19, 2009, on gambling (Journal of Laws No. 201, item 1540, as amended).

 

§ 2 

Participation in the Promotion

1. The Promotion is intended for natural persons who are of legal age (18 years of age or older), have or plan to have a registered and verified customer/user account on both Platforms, taking into account § 1(7) of the Terms and Conditions.

2. A Promotion Participant (hereinafter: “Participant”) is a person who has met all the requirements specified in these Terms and Conditions and has active, verified, and linked accounts on the Platforms, subject to § 1(7) of the Terms and Conditions.

3. By registering and verifying customer/user accounts on the Platforms, as specified in § 2(1) and (2) above, it is understood that the Participant has accounts on the Platforms and has successfully completed the authentication process (KYC) by correctly passing all its stages. The Organizer allows Participants to create customer/user accounts on the Platforms and complete the KYC process during the Promotion, but no later than at the time of its completion in accordance with § 3(1) of the Terms and Conditions.  The Organizer will verify compliance with the above criterion by checking whether the Participant has active and verified customer/user accounts on the Platforms at the above-mentioned time. If the above requirement is not met, the Organizer reserves the right to refuse to award the Prize to a given Participant. The Organizer also reserves the right to refuse to award the Prize to a Participant who meets this requirement after the start of the Promotion, as this may prevent the Participant from completing certain Promotional Tasks that involve taking action on the Platforms. 

4. Participation in the Promotion is strictly personal, therefore it is not permitted to submit entries to the Promotion on behalf of third parties. The identity and other information about the Participant should be consistent with the data (including personal data) provided in the Promotion and during the registration and identity verification process of the Participant on the Platforms. The Organizer reserves the right to verify, including verification of the identity of Promotion Participants, and in the event of reasonable doubts as to the fulfillment of the above conditions, to refuse to award the Participant a Prize in the Promotion on this basis. 

5. Employees, members of the authorities and representatives of the Organizer and other entities directly involved in the preparation and conduct of the Promotion, as well as persons permanently cooperating with the above-mentioned entities on a basis other than an employment relationship, and members of their immediate families, i.e., ascendants, descendants, siblings, spouses, parents of spouses, and persons related to them by adoption.

6. The condition for participation in the Promotion is acceptance of the content of these Terms and Conditions and expression of willingness to participate in the Promotion by submitting a promotional entry through the completion of promotional tasks and meeting the requirements of the Terms and Conditions. 

7. Participants joining the Promotion in accordance with the preceding paragraphs are required to read the provisions of the Terms and Conditions. Joining the Promotion constitutes acceptance of the terms and conditions of these Terms and Conditions.

8. Participation in the Promotion is completely voluntary and free of charge. 

9. Participation in the Promotion and the related provision of personal data is entirely voluntary, based on the Participant's consent, in accordance with § 9(2)(a) of these Terms and Conditions.

 

§ 3 

Duration of the Promotion

1. The Promotion runs from November 25, 2025, at 10:00 CET to December 10, 2025, at 10:00 CET (hereinafter: "Promotion Duration"). 

2. The Promotion will be decided and prizes will be awarded within 14 business days from the end date of the Promotion or the end date of the ETH Earn Subscription Plan (whichever is later).

3. Prizes will be awarded to Winners on the dates and under the rules specified in § 5 of these Terms and Conditions.

 

§ 4 

Promotion Rules

1. To participate in the Promotion, the Participant must complete promotional tasks consisting of the following activities (hereinafter referred to as: "Promotional Task"):

   1. activation on the ZND Platform of the ZND Earn service on a dedicated ZND Earn Subscription Plan for the Ethereum (ETH) crypto asset with an APR (Annual Percentage Rate) of 5% for a period of 14 days (hereinafter: "ETH Earn"),

hereinafter: "Promotional Entry" or "Entry".

2. Activation of the ETH Earn service will only be possible during the Promotion Period for a period of 14 days, with the proviso that only the ETH Earn Subscription Plan specified in § 4(1)(a) is covered by the Promotion, which is subject to an Annual Percentage Rate (APR) of 5% (Annual Interest Rate of 5%).

3. The participant is obliged to maintain an active subscription to the selected ETH Earn Subscription Plan for the entire declared period of such service. If the selected subscription is terminated before the declared period, such Entry will not be considered.

4. Detailed rules of the ZND Earn service referred to in § 4(1)(a) above are available in the Earn Service Terms and Conditions, available on the ZND Platform at: https://assets.znd.co/agreements/en/earn-terms-and-conditions-19-07-2025.pdf, to which the Organizer hereby refers.

5. Participants are required to perform the Promotional Tasks fairly and in accordance with the provisions of the Terms and Conditions. In the event of reasonable doubts in this regard, the Organizer reserves the right to exclude such a Participant.

6. The promotion is open, i.e., any person who meets the requirements specified in the Terms and Conditions may participate.

7. Completing any of the Promotional Tasks after the Promotion Period has expired will result in such a Promotional Entry not being considered by the Organizer.

8. Promotional Submissions will be evaluated by a promotional Commission (hereinafter referred to as the "Commission"), composed of representatives of the Organizer and persons appointed by the Organizer, as specified in § 7 of the Rules. 

9. After the end of the Promotion, all Participants who have completed the Promotional Tasks specified in § 4(1) of the Rules will receive the prize specified in § 5 of the Rules (hereinafter referred to as: "Winner" or "Winners").

10. When determining the Winners, the Commission shall also decide on the awarding of a given prize in the Promotion to a given Winner, guided by the criteria described in the Rules and verifying that the Winner has fulfilled the conditions set out in the Rules. Failure to meet these conditions may result in the exclusion of such a Participant from the Promotion and the awarding of the Prize to another Participant, as well as the forfeiture of the Prize in favor of the Organizer (in the absence of Participants meeting the conditions for the award of the Prize).

11. The Organizer reserves the right to exclude from participation in the Promotion or deprive of the right to the Prize Participants whose actions are contrary to the law, good manners, or the Rules, in particular Participants who:

• do not act personally, but through third parties;

• use different accounts on the Organizer's Platform to act on behalf of/register the same Participant;

• if third-party claims have been made in relation to their Promotional Submission,

• come from a country/region not served by the zondacrypto cryptocurrency exchange.

12. In order to clarify any doubts related to the Participant's activity in the Promotion, the Organizer may contact the Participant using available means of communication; during such contact, the Organizer may expect the Participant to provide detailed information regarding their participation in the Promotion.

§ 5

Prizes

1. As part of the Promotion, each Participant who has correctly completed the Promotional Task and meets the requirements of the Promotion specified in these Terms and Conditions (hereinafter referred to as the "Winner") will be awarded a prize in the form of ZND Tokens equivalent to the value of the prizes received for subscribing to ETH Earn (hereinafter referred to as the "Prize" or "ZND Tokens").

2. The number of ZND Tokens awarded as a prize under the Promotion will be calculated and awarded within 14 business days from the end date of the Promotion or the end date of the ETH Earn Subscription Plan (whichever is later). The Reward will reflect the equivalent value of the rewards received for the ETH Earn Subscription Plan, which means that the Participant has the opportunity to double the rewards obtained for the ETH Earn subscription.

3. The conversion rate of the Prize, i.e., the ETH/ZND currency pair exchange rate, will be based on the average closing rate on the day the ETH prize for the ETH Earn subscription is awarded, calculated on the basis of https://coinmarketcap.com/.

4. If the Winner submits an instruction to close their Customer Account on the Organizer's Platform before the ZND Tokens are awarded, the Winner will lose their right to the ZND Tokens. In such a case, the Organizer reserves the right to forfeit the Prize in the Promotion. 

5. The Organizer reserves the right to refuse to award ZND Tokens to the Winner if:

1. The Winner's Account is involved in any dishonest behavior (e.g., sharing Account data with third parties, illegal mass account registrations, making transactions between their own accounts, or market manipulation), 

2. the Organizer has reasonable doubts as to abuse or violation of these Terms and Conditions by the Customer;

3. there is a suspicion that the purpose of opening the Account is for profit-making activities unrelated to the services provided by the Organizer's Platform.

6. The Organizer does not provide any guarantee regarding the value of the ZND Token.

7. Receiving ZND Tokens as part of the Promotion does not require Participants to make any purchase or payment for the ZND Tokens awarded to them. The Organizer does not charge any fees and/or commissions for assigning ZND Tokens to the Participant's wallet. The above applies only to the one-time awarding of ZND Tokens to the Participant as part of the Promotion and does not apply to subsequent independent actions of the Participant on their account, including those related to the ZND Token.

8. Prizes will only be awarded to Participants who have maintained their use of the ETH Earn service throughout the entire declared Subscription Plan period. If a Participant has terminated their ETH Earn Subscription before the declared period, their Entry will not be considered.

9. The Organizer reserves the right to change the number of Prizes in favor of the Winners (by awarding additional prizes).

10. One Promotion Winner is entitled to only one Prize.

11. It is not possible to transfer the right to the Prize to third parties.

12. Prizes cannot be exchanged for cash equivalents or other services covered by the Organizer's offer.

13. It is possible to decline the Prize. If the Winner declines the Prize, the Organizer reserves the right to award the Prize to another Participant indicated by the Commission.

 

§ 6

Organizer's liability

1. The Organizer shall not be liable for the inability to deliver the Prize to the Winner and to fulfill the Prize for reasons beyond the Organizer's control, including events of force majeure. In such a case, the Winner will be informed of the above circumstances in a private message or will be asked to contact the Organizer by e-mail. 

2. The Organizer shall not be liable for random events preventing Participants from taking part in the Promotion.

3. The Organizer shall not be liable for the Participants' inability to achieve the expected results of transactions on the Platforms for reasons attributable to the Participants.

4. The Organizer does not provide any advice, recommendations, analyses, or suggestions regarding investing on the Platforms. The Organizer is not a broker, intermediary, agent, or advisor to the Participant and has no fiduciary relationship or obligations to the Participant in connection with the Participant's participation in the Promotion or other activities performed by the Participant on the Platforms in this regard.  The Organizer does not recommend buying, selling, or holding any cryptocurrencies and informs that investing in cryptocurrencies involves a high degree of risk. There is a risk of losing the invested funds due to changes in cryptocurrency exchange rates.

5. Any marketing material related to the Promotion concerning the crypto asset has not been reviewed or approved by any competent authority in any Member State of the European Union. The sole responsibility for the content of the marketing material concerning the crypto asset lies with the crypto asset provider. The crypto asset in the form of the ZND Token is offered by BB Trade Estonia OÜ, based in Tallinn (Estonia), the operator of the zondacrypto exchange available at https://zondacrypto.com/pl/home. § 7

Commission

1. The proper conduct of the Promotion will be supervised by a Commission appointed by the Organizer, consisting of two persons selected by the Organizer.

2. The tasks of the Commission referred to in the preceding paragraph include, in particular:

   • verifying that a given Participant meets all the conditions for participation in the Promotion;

   • selecting the Winners of the Promotion and awarding the Prizes;

   • considering Participant complaints in accordance with § 8 of the Rules. 

 

§ 8

Complaints

1. Complaints related to participation in the Promotion may be submitted by the Participant:

1. by post, to the address of the registered office of zondacrypto (Tähesaju tee 9, Tallinn, 13917, Estonia); or

2. by email to: [email protected]; or

3. by completing the form: https://zondacrypto.com/en/helpdesk/contact-page.

2. Complaints must be submitted immediately after the occurrence of an event giving rise to the Participant's objection, but no later than 14 days after the end of the Promotion (for complaints sent by registered mail, the date of the postmark is decisive).

3. The complaint should contain all the information specified in the regulations available on the zondacrypto platform at https://zondacrypto.com/en/legal/zonda-exchange, including § 18 of the Terms and Conditions of Service, in connection with the Complaint Procedure on the zondacrypto platform, available at: https://zondacrypto.com/documents/d/guest/complaint-procedure-en-docx.

4. The complaint procedure is conducted in accordance with the procedure set out in the regulations referred to in section 3 of this paragraph, including the Terms of Service - § 18. Detailed rules for the complaint procedure can be found in a separate document referred to in the Terms and Conditions of Service - Complaint Procedure on the zondacrypto Platform, available at: https://zondacrypto.com/documents/d/guest/complaint-procedure-en-docx. 

5. Complaints will be considered by the Organizer.

 

§ 9

Personal data 

1. The Controller of personal data is BB Trade Estonia OÜ with its registered office in Harju maakond, Tallinn, Lasnamäe linnaosa, Tähesaju tee 9, 1391 Estonia (office number 10), a company under Estonian law, registered in the register of entrepreneurs under number: 14814864 (hereinafter: "Data Controller").

2. The Controller processes the personal data of Promotion Participants and Winners on the basis of: 

1. consent within the meaning of Article 6(1)(a) of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (hereinafter: "GDPR");

2. fulfilling the legal obligation incumbent on the Data Controller within the meaning of Article 6(1)(c) of the GDPR in order to comply with the obligation to store accounting documents;

3. the legitimate interest of the Data Controller in accordance with Article 6(1)(f) of the GDPR, consisting in particular in responding to any complaints or claims made as a result of this Promotion.

3. All data obtained by the Organizer about the Participants and Winners of the Promotion will be deleted or anonymized within 60 days from the date of the end of the Promotion or sending the Prize to the Winners of the Promotion. 

4. The data of Participants and Winners of the Promotion will be deleted or anonymized in accordance with the preceding paragraph , with the exception of data that will be necessary to fulfill the legal obligations incumbent on the Data Controller and to pursue the legitimate interests of the Data Controller - necessary to consider complaints or other forms of claims submitted by Participants or Winners of the Promotion or other persons, as well as for the purposes of possible court or administrative proceedings.

5. The data is protected by technical and organizational measures to ensure an adequate level of protection in accordance with applicable regulations.

6. The Data Controller processes only personal data provided as part of the Promotion. Personal data is not subject to automated decision-making for the purposes of the Promotion. 

7. For the purposes of the Promotion, personal data will be made available to companies affiliated with the Data Controller in terms of capital and personnel, i.e. Orion Software sp. z o. o. and Expofer Servis House s. r. o., as well as the operator of the ZND.co platform (ZND.CO OÜ). 

8. Promotion participants have the right to:

1. the right to request from the Data Controller access to personal data concerning the data subject, their rectification, erasure or restriction of processing, and the right to object to processing, as well as the right to data portability;

2. lodge a complaint with the supervisory authority - the Estonian Data Protection Inspectorate, 39 Tatari, 10134 Tallinn, Estonia, if the Participant believes that their personal data is being processed unlawfully. 

9. All requests, questions, and demands related to data processing should be directed to the Data Protection Officer appointed by the Data Controller: [email protected].

 

§ 10

Final provisions

 

1. These Terms and Conditions are the only document specifying the detailed rules of the Promotion.

2. The Rules are available for the duration of the Promotion on the Organizer's website and at the Organizer's headquarters.

3. The Organizer is entitled to change the content of the Terms and Conditions, both in part and in whole, at any time for reasons beyond the Organizer's control, as well as when such a change is made solely for the benefit of the Participants. Participants will be informed of any planned changes to the Terms and Conditions at least 7 days before the changes are introduced by posting information on the Organizer's Platform.

4. If a Participant does not accept the changes to the Terms and Conditions, the Promotion for that Participant will be terminated. Failure by a Participant to indicate their non-acceptance of the changes to the Terms and Conditions before the date of their entry into force, subject to the deadline referred to in point 1 above, shall be deemed acceptance of the new Terms and Conditions.

5. Customers participating in the Promotion are required to comply with the provisions of these Terms and Conditions.

6. In matters not covered by the Terms and Conditions, the provisions of the Organizer's Terms and Conditions and generally applicable laws shall apply. In the event of a conflict between the provisions of the Terms and Conditions and the provisions of the Organizer's Terms and Conditions, the provisions of these Terms and Conditions shall apply.
