Terms and Conditions of the Promotion "ZND x CryptoSphere"
§1
General provisions
These Terms and Conditions (hereinafter referred to as the “Terms and Conditions”) define the rules of participation and the conditions under which the “ZND x CryptoSphere” promotional campaign takes place (hereinafter referred to as the “Promotion”) .
The organizer of the Promotion is BB Trade Estonia OÜ with its registered office in Harju maakond, Tallinn, Lasnamäe linnaosa, Tähesaju tee 9, 1391 Estonia (office number 10), entered into the Register of Entrepreneurs under number 14814864, being the operator of the zondacrypto exchange, and ZND.CO OÜ with its registered office in Tallinn at the address: Harju maakond, Tallinn, Lasnamäe linnaosa, Tähesaju tee 9, 13917, Estonia (office number 7), entered into the Register of Entrepreneurs under number 16874675 (hereinafter jointly referred to as: “Organizer” or “Promotion Organizer” ).
The Promotion takes place at the CRYPTOSPHERE conference, which takes place on October 5, 2024 in Wrocław (54-615) at 33 Rakietowa Street (hereinafter referred to as the “Conference”) .
The Promotion starts on October 5, 2024 at 9:00 a.m. CEST and lasts until the end of all events included in the Conference agenda (https://cryptosphere.pl/#Agenda, hereinafter referred to as: “Promotion Duration”).
The Organizer may inform about the Promotion in advertising materials made available during the Conference, as well as through its social media, including on the “Instagram”, “X” (formerly “Twitter”), “TikTok”, “Telegram”, etc. The Promotion is not created, administered or sponsored by the above-mentioned social media.
The tasks of the Promotion Organizer include ongoing supervision of the Promotion, including, in particular, whether there is a risk of a breach of the Promotion rules established by these Regulations in connection with the Promotion.
The Promotion is aimed at Conference participants who meet the conditions for joining the Promotion described in §3 of these Terms and Conditions. The aim of the Promotion is to encourage Participants to actively use the Organizer's Mobile Application. As part of the Promotion, Participants will have the opportunity to familiarize themselves with products offered by the Organizer.
For the purposes of these Regulations, the terms indicated below have the following meanings:
Participant - a natural person taking part in the Conference who is also a Client who, by installing the Mobile Application on his/her mobile device and submitting a registration form to the Organizer, intends to take part in the Promotion;
Client - a natural person who has an Account on the Organizer's Platform, who has successfully passed the required identity verification (KYC) in full (in terms of all verification stages) in accordance with the Organizer's Regulations, and who has obtained full functionality of the Client Account ;
Client Account - a part of the Organizer's Platform available to the Customer after logging in, password-protected and secured by two-factor authentication , constituting a resource of the Customer's data and information about his/her activities on the Organizer's Platform;
Administrator or Personal Data Administrator - Organizer;
Organizer's Platform - the internet platform available at the public internet address https://zondacrypto.com (hereinafter also referred to as: “zondacrypto Platform”) and https://znd.co (hereinafter also referred to as: “ZND Platform”), as well as in the Mobile Application. It is operated by the Organizer;
Mobile Application - the Organizer's mobile application, available for download on mobile devices with the following operating systems:
Android - application called ' zondacrypto2.0: trade tomorrow ' available in the Google Store at https://play.google.com/store/apps/details?id=com.zondacrypto.exchange&hl=pl&pli=1 ,
iOS - mobile application called ' zondacrypto: trade tomorrow ' (available in the App Store at https://apps.apple.com/pl/app/zondacrypto-trade-tomorrow/id6482290108?l=en-GB).
The Mobile Application installed on the Client’s mobile devices enables them to use the Organizer’s Platform within the iOS (iPhone) and Android operating systems;
ZND Points - entries in the balance of the Customer's Account on the ZND Platform, constituting the Organizer's obligation to allocate ZND Tokens. ZND Points are not tokens and cannot be traded, withdrawn or otherwise used in the functionalities of the Organizer's Platform.
ZND Token - utility token created by the Organizer. Details regarding functionality, issuance and other important information can be found in the "ZND Token Information Document (white-paper)" available at: https://assets.znd.co/token/pl/whitepaper

The Organizer also uses in these Terms and Condition definitions consistent with the definitions contained in the Organizer's Regulations , including the Terms and Conditions of Service (see § 1 sec. 4 letter and above), to which it hereby refers in this respect.
The Promotion is not a cash lottery, raffle, promotional lottery or any other game of chance or mutual betting.
All information about the Promotion available in advertising materials is for informational purposes only.
§2
Participation in the promotion
The Promotion is intended solely for natural persons who are participants of the Conference and who do not have the Mobile Application installed on their mobile devices (smartphone or tablet), who are adults (over 18 years of age), and who reside in countries/regions served by the Exchange.
Only one person may participate in the Promotion person, who is a verified Client , i.e. at the time of joining the Promotion, has an Account on the Organizer's Platform, has passed the required identity verification (KYC) in full (in terms of all verification stages) in accordance with the Organizer's Regulations, and who has obtained full functionality of the Client Account, which must also be current at the time of joining the Promotion and at the time of receiving the Installation Bonus.
The Promotion may only be entered in person, and therefore it is not permissible to submit promotional applications on behalf of third parties. The Organizer reserves the right to verify the Promotion Participants and – in the event of reasonable doubts regarding the fulfillment of the above conditions – to refuse to grant the Participant the Bonus for installation on this basis.
The Promotion is not open to employees, members of the authorities and representatives of the Organizer and other entities directly involved in the preparation and conduct of the Promotion, as well as persons cooperating with the above-mentioned entities on a permanent basis other than an employment relationship and members of their immediate families, i.e. ascendants, descendants, siblings, spouses, parents of spouses and persons in an adoption relationship with them.
Each Participant may use the Promotion only once.
The condition for participation in the Promotion is acceptance of the content of these Regulations and joining the Promotion by fulfilling all promotional requirements.
A Participant who joins the Promotion in accordance with the preceding paragraphs is required to familiarize themselves with the provisions of the Regulations. Joining the Promotion is tantamount to accepting the content of these Regulations.
Participation in the Promotion is completely voluntary and free of charge.
Participation in the Competition and the related provision of personal data is entirely voluntary, based on the consent expressed by the Participant - in accordance with §4 section 3 letter a) of these Regulations.
§3
Promotion Rules
To participate in the Promotion, the Participant must meet all of the following conditions (promotional conditions):
will be present during the Promotion Period at the CRYPTOSPHERE Conference,
during the Promotion Duration, downloads the Organizer's Mobile Application onto his/her mobile device,
via the form available on the Organizer’s website, submits a promotional application (hereinafter referred to as the “Promotional Application”) in which:
provide the e-mail address to which his/her Client Account on the Organizer's Platform is assigned,
submits a declaration of acceptance of the Promotion Terms and Conditions and reads the clause regarding data processing,
logs in to the ZND Platform via the Mobile Application at least once.
The address of the website through which the Participant can submit a Promotional Application will be made available during the Conference by persons authorized by the Organizer. It will be made available to Participants in the form of the Organizer's advertising materials containing a series of characters and numbers (in the form of a www address, QR code or in another similar form freely chosen by the Organizer).
In the event of successful performance of the activities referred to in §3 section 1 of the Regulations, the Organizer undertakes to award the Participant ZND Points equivalent to EUR 10 (hereinafter referred to as the “Installation Bonus”) to the balance on the Customer’s Account on the ZND Platform.
The Installation Bonus cannot be exchanged for a cash equivalent or other services covered by the Organizer's offer.
The Organizer will make every effort to ensure that the awarded Installation Bonus is credited to the Customer’s Account within 7 days from the date of fulfillment of the promotional conditions, however, this will take place no later than within 14 days from the date of fulfillment of the promotional conditions by the Participant.
The Organizer has the right to verify whether the person submitting the Promotional Application qualifies for the Installation Bonus, in particular whether they have met all the conditions described in §3 section 1 of the Terms and Conditions. The Participant undertakes to cooperate in this respect and disclose all information that allows for verification of the correct fulfillment of the promotional conditions. Lack of cooperation may result in the refusal to grant the Installation Bonus.
ZND Points received by the Participant as part of the Promotion and assigned to Customer Accounts on the ZND Platform will be exchanged by the Organizer for ZND Tokens - a token created by the Organizer. The exchange of ZND Points for ZND Tokens will take place within 90 days from the date of the premiere of the ZND Token (hereinafter referred to as the "Token Generation Event"), which is scheduled for October 24, 2024. The exchange will be conducted according to the Organizer's Regulations. Until the Token Generation Event, the ZND Points of a given Participant will be appropriately secured in the form of being assigned to their wallet on the ZND Platform. The value of ZND Points expressed in EUR is estimated in accordance with the best will and knowledge of the Organizer. The Organizer emphasizes that ZND Points are not subject to free market trading and it is impossible to value them on the market during the Promotion Period. The Organizer is not liable for any damage caused by a decrease in the value of the Installation Bonus, including after their exchange for ZND Tokens, and the Participant waives any claims for the difference in the value of the Bonus for installation estimated by the Organizer.
The Organizer is entitled to early termination or cancellation of the Promotion without having to provide a reason.
In the event of an instruction to close the Client’s Account before the Installation Bonus is awarded, the Promotion ceases to apply to the specific Customer who submitted such an instruction.
If the Client's actions violate these Terms and Conditions, the Organizer's Regulations or if the Client has taken any actions that negatively affect the security of the Organizer's operations, harm other Clients or are intended to circumvent the security measures used by the Organizer, including, among others, falsifying data, the Organizer has the right to suspend the Promotion in relation to such Client.
The main channel for distributing information between the Organizer and the Client is the Organizer Platform, the e-mail communication channel ([email protected]) and the chat available on the Organizer Platform.
The Promotion is available only during the Conference , subject to the possibility of introducing temporary restrictions or suspension of access to the Promotion due to technical maintenance of the Organizer's Platform.
In the event of failure to meet the KYC requirements, having a residence in a country/region that is not supported by the Exchange or in the event of termination of the Agreement in the case referred to in § 3 mouth 9 above, the Promotion does not apply.
The Organizer reserves that the withdrawal of funds from the Customer Account is not possible until the account is fully verified in the KYC process.
§4
Protection of personal data
The Organizer is the Controller of personal data within the meaning of Art. 4 ( 7) Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (hereinafter referred to as “GDPR” ).
The Organizer protects personal data against unauthorized access, among others, by implementing appropriate technical and organizational measures and implementing and enforcing a personal data security policy. The Organizer undertakes to process the personal data of Customers in accordance with the principles specified in the GDPR and national regulations on the protection of personal data.
The legal basis for processing Customers' personal data is:
Art. 6 (1)(a) GDPR - consent to the processing of personal data expressed as part of downloading the Mobile Application and using the Promotion;
Art. 6 (1)(b) GDPR - necessity to perform the contract to which the Customer is a party in order to set up a Customer Account on the Organizer’s Platform and take advantage of the Promotion;
Art. 6 (1)(c) GDPR - fulfillment of legal obligations incumbent on the controller of personal data in order to fulfill legal obligations specified in particular in the Estonian Act of 26 October 2017 on Combating Money Laundering and Terrorist Financing;
Art. 6 (1)(f) GDPR - the legitimate interest of the personal data controller consisting primarily in: improving the quality of the Promotion, adapting the Promotion to the needs of Customers, responding to Customers' notifications, increasing the efficiency of the Organizer's Platform, ensuring the security of the Organizer's Platform, sending the newsletter, marketing the personal data controller's own products.
The provision of personal data by Customers during the registration process is voluntary, but necessary to take advantage of the Promotion specified in these Regulations. If the Customer refuses to provide personal data, it will not be possible to take advantage of the Promotion specified in these Regulations.
In connection with the processing of personal data by the Organizer, Customers have the following rights: the right to access personal data, the right to rectify personal data, the right to limit processing, the right to request the deletion of data, the right to object, the right to transfer data, the right to lodge a complaint with the supervisory authority.
A Client who believes that the Organizer processes his/her personal data in violation of applicable law has the right to lodge a complaint with the supervisory authority, which is the Estonian Data Protection Inspectorate, 39 Tatari, 10134 Tallinn, Estonia.
The personal data of the Customer participating in the Promotion are not subject to automated decision-making for the purpose of implementing the Promotion.
The Administrator may transfer the personal data of Clients to: business organizers, cooperating persons, entities providing employee outsourcing, payment operators, entities offering customer service software, entities providing e-mail services, entities offering document scan verification services, entities providing server hosting services, if it is necessary in connection with the business activity conducted by the personal data administrator, in particular for the purpose of implementing its contractual relations, and to processing entities only to the extent necessary to support and facilitate the implementation of the processing purpose.
Organizer's contractors and some processors may be based outside the European Union and the European Economic Area (EEA). In such a case, the Controller verifies whether business contractors ensure a high level of personal data protection. Such guarantees result in particular from the obligation to apply the European Commission's standard contractual clauses (2010/87/EC and/or 2004/915/EC).
The Administrator will process the personal data of Customers only for the period of:
no longer than necessary to achieve the purposes of processing;
until the limitation period for claims expires;
until the obligation to store data resulting from generally applicable legal provisions expires.

§5
Complaints
The Customer has the right to file a complaint if the Promotion is not available in accordance with these Regulations and other generally applicable legal provisions.
The Client may submit a complaint regarding the provision of the Promotion, including the activities described in these Regulations, in writing, by sending it via a public postal operator to the address of the Organizer: Harju maakond, Tallinn, Lasnamäe linnaosa, Tähesaju tee 9, 13917 ESTONIA, or in electronic form by sending it to the e-mail address: [email protected].
The complaint should include in particular: data identifying the Customer, the date of the event that is the basis for the complaint, a description of the reservations that constitute the basis for filing the complaint, transaction identifiers, the Customer's e-mail address and the Customer's expectations as to how the complaint will be handled.
In order for the Organizer to properly consider the complaint, the complaint must be submitted by the Client no later than 30 days from the date on which the Client learned of the circumstances giving rise to objections.
Complaints are considered by the Organizer immediately, but no later than within 14 days from the date of their receipt.
If the complaint does not contain the information necessary to consider the complaint, as referred to in § 5 point 3 above, the Organizer will ask the Client to supplement it to the extent necessary, and the period of 14 (fourteen) days will run from the date of delivery of the supplemented complaint. In justified cases, the Organizer may extend the period for considering the complaint by an additional 14 (fourteen) days, about which the complainant will be informed.
The customer submitting a complaint will be informed about the method of handling the complaint in the form in which it was submitted.
The Client has the right to appeal against the decision made by the Organizer regarding the complaint. The provisions of the above points of this paragraph apply accordingly.
§6
Final provisions
The Organizer is entitled to change the content of the Regulations, both in part and in whole, at any time. Customers will be informed about any planned changes to the Regulations via an appropriate communication channel .
If the Customer does not accept changes to the Regulations, he or she should not participate in the Promotion .
It is reserved that for Customers who have already been awarded an Installation Bonus under the Promotion, the provisions of the Regulations in force at the time of awarding this Bonus will apply.
If the Client does not accept the changes to the Regulations, the Promotion for such Client will be terminated. Joining the Promotion after the changes to the Regulations is considered as acceptance of the new Regulations.
The Customer taking advantage of the Promotion is obliged to comply with the provisions of these Terms and Conditions.
Organizer's Terms and Conditions and generally applicable legal provisions shall apply .
In the event of a conflict between the provisions of the Regulations and the provisions of the Organizer’s Regulations, the provisions of these Regulations shall apply.
The present regulations shall apply from 5 October 2024.
