Terms and conditions ZND Token Airdrop

Before deciding to participate in the present event, we kindly ask to carefully read the following provisions of these Terms & Conditions.

All detailed information about the Airdrop, will be made available only on the official communication channels of ZND, as well as on ZND Platform, zondacrypto Platform and official communication channels of zondacrypto.com. Please be cautioned against providing your personal data or other information related to your participation in Airdrop to anyone not affiliated with the Organizer or who may impersonate the Organizer, including anyone who may communicate directly with Participants through communication channels impersonating the Organizer. 

All contact with the Organizer will be made exclusively through the ZND Platform, the zondacrypto Platform or by email at the following address: [email protected]. 

 

§ 1 General provisions 

1. The purpose of the implementation of the Airdrop described in these Terms & Conditions is to promote Token - ZND Token, as well as to accelerate the development of interest in the ZND community around the new product. These T&Cs describe the rules of participation and execution of the Airdrop event by the Organizer for the benefit of ZND users. 

2. The Airdrop event takes place on the Organizer's Platform: https://znd.co/ as well as zondacrypto Platform: https://zondacrypto.com/en/home.  For the purposes of the Airdrop, zondacrypto is the provider of the platform on which Participants are required to have an active and verified user account and accept the provisions of its "Terms and Conditions of Service''.

3. For purposes of these Terms & Conditions, the terms indicated below shall have the following meanings:

a. Airdrop - the ZND Token Airdrop event, described in these T&Cs, involving the distribution to Participants a certain number of ZND Tokens, determined according to the rules indicated in these T&Cs; 

b. Organizer - ZND.CO OÜ with its registered office in Tallinn, address: Harju maakond, 2 Tallinn, Lasnamäe linnaosa, Tähesaju tee 9 (office no. 7, 2nd floor), 13917, Estonia, registered in the register of companies in Estonia; 

c. Terms & Conditions (hereinafter also referred to as “T&Cs”) - these ZND Token Airdrop - Terms & Conditions; 

d. ZND Token - a token created by the Organizer that will be distributed in Airdrop among Participants; it is a unit of accountant in ZND ecosystem and a symbol of trust and engagement within the ZND community;  

e. ZND Platform - the Organizer’s platform, available at: https://znd.co/; 

f. zondacrypto Platform - the platform of zondacrypto, available at: https://zondacrypto.com/en/home; 

g. Participant - an individual/legal entity, taking part in the Airdrop, meeting the conditions indicated in § 2 of the T&Cs; 

i. ZND User - an individual/legal entity with an active and fully verified user account on the ZND Platform;

j. zondacrypto User - an individual/legal entity with an active and fully verified user account on the zondacrypto Platform;

k. zondacrypto - BB Trade Estonia OÜ with registered office in Estonia, at the following address: Harju maakond, Tallinn, Lasnamäe linnaosa, Tähesaju tee 9, 13917 ESTONIA (office no. 10, 2nd floor), registered in the Estonian Register of Companies under number 14814864.

 

§ 2 Eligibility

1. The Airdrop is intended only for adult (18 years of age or older) natural persons and legal entities with active and fully verified user accounts on the ZND Platform and on the zondacrypto Platform, who have fulfilled in total all the requirements for participation in the Airdrop, as indicated in the body of these Terms & Conditions. In terms of having an active and verified:

• ZND User's account, the provisions of the "Terms and Conditions for ZND Platform", available on the ZND Platform, shall apply: https://assets.znd.co/agreements/en/platform-terms-and-conditions; 

• zondacrypto User account, the provisions of the "Terms and Conditions of Service", available on the zondacrypto Platform, shall apply: https://zondacrypto.com/en/legal/zondacrypto-exchange/terms-and-conditions-of-service-6-02. 

2. The following categories of Users (ZND and/or zondacrypto, respectively) may not participate in the Airdrop: 

   1. persons whose participation in Airdrop is prohibited by law and inconsistent with applicable laws their participation in Airdrop and receipt of Tokens, including but not limited to anti-money laundering ("AML"), corruption and terrorist financing ("CTF") laws;
   2. persons who have citizenship, residency or country of registration in restricted countries for which ZND or zondacrypto services cannot be provided; a list of such countries is available on the zondacrypto.com Platform at: https://zondacrypto.com/en/nonacceptable-countries; 
   3. persons who have been subject to prior suspension or termination of use of the ZND Platform or the zondacrypto Platform;
   4. entities with the status of a professional entity, engaged in the trading of cryptocurrencies as part of their activities (including business activity). A natural person whose activities are based on professional cryptocurrency trading may also be classified as a professional entity.
       

3. The Organizer reserves the right to verify the identity and eligibility of the Participant and to determine whether the Participant is subject to any exclusions indicated in § 2.2 above. 

4. Participation in the Airdrop is conditional on accepting the content of the Terms & Conditions and expressing the desire to participate in the Airdrop by fulfilling certain requirements indicated in § 3 below. A participant who joins the Airdrop in accordance with the Regulations is obliged to be familiar with its provisions. Joining the Airdrop is understood as acceptance of the content of these T&Cs.

5. Each Participant may take part in the Airdrop only once (i.e., one time, using only one account held on the ZND Platform). 

6. The number of Participants in the Airdrop is unlimited. 

 

§ 3 Rules for participation in the Airdrop (rZND Points)

1. In order to participate in the Airdrop and receive ZND Token(s), Participants are required to undertake a certain type of activity on the ZND Platform, for which they will be granted Reward points (hereinafter: "rZND Points") respectively. 

2. Activities for which Participants will be able to earn rZND Points, along with an indication of the value of points awarded for each activity, are specified in the "Table of rZND Points", attached as Annex No. 1 to the Terms & Conditions. 

3. The number of rZND Points specified in the "Table of rZND Points" in Annex No. 1 to the T&Cs will be awarded first for the Participant's activity as: 

   1. correct registration of the account on the ZND Platform (“Registration Reward”); 

   2. deposit a minimum of EUR 50 in any currency in the account on the ZND Platform (“First Deposit Bonus”), 

   3. open a subscription to the "Earn" service in any currency for any duration (“First Earn subscription opened”).

4. The number of rZND Points awarded for activities specified in Annex No. 1 other than those specified in paragraph 3 above, will depend on the following factors: the number of Participants and activities undertaken directly by a given Participant, and the scoring will be awarded as follows - the pool of points (e.g. 5,000. 000 rZND Points) will be divided among the Participants most involved in the activity (so, for example, in the case of "Social Media Activities" points), or will be divided among the Participants of such activity, depending on their number and in proportion to the corresponding volume performed by them (so, for example, with “Volume in ‘Earn’ Pools on ZND”). The specific values assigned to each Participant, will be determined after the complete completion of the point accumulation activity by such Participants. 

5. In the case that a Participant has fulfilled the requirements for eligibility for rZND Points for activities “Registration Reward”, “First Deposit Bonus” and “First Earn subscription opened” even before the start of counting, the Participant will be awarded rZND Points for these activities on the same basis as other Participants (as if these activities had already taken place after the start of accrual of rZND Points). 

6. The possibility of earning rZND Points by Participants will begin at 3:00 p.m. on March 26, 2024 and will last until 3:00 p.m. on May 21, 2024.

7. The Organizer will award the appropriate number of ZND Tokens, determined in accordance with the criteria indicated in § 4 of these Terms & Conditions, to all Participants who have undertaken the activities indicated in the Table of rZND Points (one or more) and collected rZND Points for them.  

8. The Organizer, during the period indicated in paragraph 6 above, reserves the right to add new activities to the list of scoring activities by updating the Table of rZND Points, which will not constitute a change to the content of the T&Cs in cases where such a change will be exclusively for the benefit of the Participants.

 

§ 4 Rules for receiving the ZND Token(s)

1. The Organizer, directly after the end of the campaign of earning rZND Points by Participants, will assign rZND Points to the wallets of Participants on the ZND Platform, which will then be exchanged for ZND Tokens. 

2. The exchange of rZND Points for ZND Tokens will take place according to the distribution of the number of ZND Tokens planned in Airdrop, among all Participants.

3. The number of ZND Tokens awarded to a given Participant will depend on the number of rZND Points collected by that Participant as compared to the scores of all other Participants and the number of Participants taking part in the Airdrop. 

4. The exchange of rZND Points for ZND Tokens will take place within 30 days of the release of the ZND Token (hereinafter: "Token Generation Event"), which is scheduled for the third quarter of 2024. 

5. The Organizer will inform Participants of the specific date of the Token Generation Event publicly in advance through official communication channels, including both those belonging to the Organizer and the zondacrypto. 

6. By the time a specific date of the Token Generation Event, the rZND Points of a given Participant will be appropriately secured in the form of allocation to the Participant's wallet on the ZND Platform, in accordance with paragraph 1 above.

7. The Organizer reserves the exclusive right to determine the number of ZND Tokens allocated to each Participant taking into account the level and effect of participation and activities of the Participants.

8. The Organizer informs that the condition for the distribution of the ZND Token is that on the date of said distribution the Participant's account on the Platforms (respectively ZND and zondacrypto) is fully verified and that the Participant’s actions comply with the content of the Terms & Conditions. 

9. The Organizer does not make any guarantee regarding the value of the ZND Token under the Airdrop. 

10. Participation in the Airdrop does not require Participants to make any purchase or payment for the Tokens allocated to the Participant under the ZND Token Airdrop. The Organizer does not charge any fee and/or commission for the allocation of ZND Tokens to the Participant's Wallet. The above applies only to the one-time withdrawal to the Participant of the ZND Token awarded within Airdrop and does not apply to the Participant's subsequent independent actions on the Participant’s account, including those related to the ZND Token. 

 

§ 5 Disclaimers 

1. Participants acknowledge and agree that the Airdrop ZND Tokens awarded to them do not represent any shares, ownership or equivalent rights in the Organizer and zondacrypto (and its related entities).

2. These terms and conditions of participation in Airdrop, as well as the terms and conditions for the award of ZND Tokens, do not constitute a prospectus, advertisement or offering document and are not intended to constitute an offer in any form or any other form of investment or solicitation of any form of investment in any jurisdiction.

3. ZND Tokens received through Airdrop are not intended as investment advice, and each Participant acknowledges that their value may fluctuate and that no guarantees are made regarding the future value of ZND Tokens. 

4. It is stipulated that all intellectual property rights related to Airdrop and ZND Tokens, including but not limited to trademarks, logos and content presented, are the exclusive property of the Organizer or of zondacrypto (unless otherwise provided by common law).

 

§ 6 Liability

1. The Organizer shall not be liable if the Participant is unable to participate in Airdrop at any time, including during the withdrawal of ZND Tokens due to the lack of an active and successfully verified User account (on the ZND Platform and/or the zondacrypto Platform, respectively), including, but not limited to, the Participant's indication of outdated or incomplete data in the KYC/KYB process), as indicated in § 2.1. of the Terms & Conditions, as well as if the Participant fails to meet the other conditions of participation, as provided in § 2 of the Terms & Conditions.

2. The Organizer shall not be responsible for the inability of Participants to achieve the expected results regarding the execution of transactions on the ZND Platform or zondacrypto Platform for reasons attributable to Participants.

3. The Organizer does not provide any advice, recommendations, analysis or suggestions with respect to Airdrop and ZND Token. The Organizer is not the Participant's broker, intermediary, agent or advisor and has no fiduciary relationship or obligation to the Participant in connection with the Participant's entry into Airdrop or other activities performed by the Participant on the ZND Platform in this regard. 

4. The Organizer shall not be liable to Participants for any change in the market value of the awarded ZND Token. 

 

§ 7 Personal Data 

1. The controller of personal data in the use of the Organizer's service, including in the implementation of the rules of this Airdrop and having an account on the ZND Platform, is: ZND.CO OÜ with its registered office in Tallinn, address: Harju maakond, 2 Tallinn, Lasnamäe linnaosa, Tähesaju tee 9 (office no. 7, 2nd floor), 13917, Estonia, registered in the register of companies in Estonia. 

2. The details of the processing of personal data on the Organizer's Platform (ZND Platform) in connection with this Airdrop are indicated in the contents of the ZND Privacy Policy: https://assets.znd.co/agreements/en/privacy-policy. 

3. The controller of personal data in the use of the account on the zondacrypto Platform is: BB Trade Estonia OÜ with registered office in Estonia, at the following address: Harju maakond, Tallinn, Lasnamäe linnaosa, Tähesaju tee 9, 13917 ESTONIA (office no. 10, 2nd floor), registered in the Estonian Register of Companies under number 14814864.

4. The detailed information regarding the rules for processing personal data in connection with the possession of accounts on the ZND Platform and the zondacrypto Platform are indicated in the regulations for the provision of such services, indicated in § 2(1) of these Terms & Conditions. 

 

§ 8 Final Provisions 

1. These Terms & Conditions are the only document defining the detailed rules of the Airdrop. 

2. The Organizer reserves the right to change the Terms & Conditions at any time and such change shall take effect on the date specified by the Organizer, provided that the effective date of the change in the T&Cs shall not be less than 7 days from the time the revised T&Cs are made available to the Participant, of which the Organizer shall inform the Participants on the Platform. 

3. The Terms & Conditions are available during the time of the Airdrop on the website https://zondacrypto.com/en/home and at the Organizer's office.

4. The "Terms and Conditions for ZND Platform" (https://assets.znd.co/agreements/en/platform-terms-and-conditions) and the "Terms and Conditions of Service" of zondacrypto (https://zondacrypto.com/en/legal/zondacrypto-exchange/terms-and-conditions-of-service-6-02) indicated in § 2. 1. shall apply for any matters not regulated in these T&Cs.

6. The Terms & Conditions in this version are effective as of March 26, 2024.
