of the “TMM x zondacrypto - Porsche 2025” Giveaway

 

The “TMM x zondacrypto - Porsche 2025” giveaway is organized on the occasion of the 20th edition of Top Marques (“the Show”), the prestigious supercar and luxury show taking place from May 7 to May 11, 2025, at the Grimaldi Forum in Monaco. Known as one of the most anticipated events in the luxury automotive world, Top Marques Monaco celebrates two decades of showcasing the finest in supercars, cutting-edge technology, and luxury lifestyle.

 

This giveaway, launched in partnership with zondacrypto, aims to mark this special occasion by offering participants the chance to win a Porsche 911 Carrera S. Below are the official rules and terms governing the giveaway.

 

Article 1: General provisions

 

1. This giveaway (“Giveaway”) is organized by TM EVENTS Sàrl (a limited liability company) with capital of €1,000,001.00, headquartered at 41 AVENUE HECTOR OTTO, 98000 MONACO, registered in the Monaco Trade and Industry Register under no. 24S09807, (“Organiser”) and founded by EXPOFER SERVIS HOUSE s.r.o., headquartered at V ZATISI 810/1, MARIANSKE HORY, 70900 OSTRAVA, CZECH REPUBLIC; VAT EU: CZ06095976 ("Founder"). The Regulations define the conditions of participation and the rules of the Giveaway, as well as the rights and obligations of the Giveaway participants and the Organizer.

2. The Giveaway will run from March 3, 2025, to May 11, 2025, inclusive (Monegasque time)  (“Giveaway Period”). Participants (“Participants”) must be natural persons of full legal age, with full legal capacity, who are residents of Monaco, France or Corsica, and must not be employees, associates or family members of the Organizer, co-organizers, Ambassadors or Founder. In the event that the Organizer has reasonable doubts about the Participant’s eligibility, the Organizer reserves the right to require proof of its eligibility  to participate in the Giveaway.

3. By entering the Giveaway, Participants agree to fully comply with  these Regulations and confirm they have read the privacy notice concerning the processing of personal data. Participation is accomplished by completing the Giveaway Task as outlined in Article 2 of the Regulations.

4. The Organizer reserves the right to amend these Regulations at any time. Changes will be published promptly in the same manner as the original Regulations.

5. For the purposes of these Regulations, the following definitions apply:

• “Platform” - means the Internet platform available at the public Internet address www.zondacrypto.com;

• “Regulations of the Platform” - means regulations for the provision of electronic services, posted on the Platform, available at: https://zondacrypto.com/pl/legal/zondacrypto-exchange, including in particular the Terms of Service of zondacrypto, available at: https://zondacrypto.com/pl/legal/zondacrypto-exchange/regulamin-swiadczenia-uslug;

• “Ambassadors” - means the brand's ambassadors: AkramJunior, LilaSpeach, CharlotteSiine;

• “Participant” - means an individual who meets the eligibility criteria and participates in the Giveaway.

“Prize” - means one (1) used Porsche 911 Carrera S, as specified in Article 5.

 

The present rules define the conditions under which the Organizer organizes the “TMM x zondacrypto - Porsche 2025” Giveaway.

 

Article 2: Participation in the game

 

Giveaway task

 

1. To participate in the Giveaway, the Participant must meet the following conditions:

   1. Register an account on https://zondacrypto.com/pl/home and complete the full verification process (KYC), in accordance with the Terms and Conditions of the Platform, during the Giveaway Period.

   2. During the registration on the Platform, the Participants must use code ‘PORSCHE10’, which will also grant the Participant with $10 in ZND Tokens. ZND Tokens will be added to the Participant’s account on the Platform after successful completion of the KYC process.

   3. Like the Giveaway post on the Organizer's Instagram.

   4. In a comment under the Organizer’s Giveaway post on Instagram tag two accounts (profiles) of Participant’s friends

   5. Follow the Instagram profiles of Organizer and the Founder: @zondacrypto and @topmarquesmonaco.

   6. Share the Organizer’s Giveaway post on Participant’s Instagram Stories.

2. A Participant may enter the Giveaway only once. Duplicate entries will result in disqualification.

3. Participation in the Show, which must be confirmed by the Participant during the Giveaway Period according to the instruction provided by the Organizer during the Show, will result in a tenfold increase in the chance of winning. The increase in chances is based on the multiplication (10x) of the Participant's entry into the Contest in the internal database of Participants maintained by the Organizer.

4. Only self-reported answers, the author of which is the applicant (Participant), can be submitted to the Giveaway.

5. Completion of any of the Giveaway tasks described in point 1 after the expiration of the Giveaway Period will result in such Giveaway entry not being considered by the Organizer.

6. The Participant's completion of only some of the tasks or posting the comment under the post on a profile other than the Profile specified above, may entail the Organizer's recognition of the provided answer as incorrect or incomplete. 

7. Participation in the Giveaway is open only to adult individuals (natural persons of legal age - at least 18 years old), residing in Monaco, France or Corsica, who: 

   1. Have created an account on https://zondacrypto.com/pl/home not earlier than the date of the start of the Giveaway, and 

   2. will document the registration of the account by showing the registration e-mail.

8. Entries to the Giveaway that are incomplete, illegible, or do not adhere to the rules or specifications may be disqualified at the sole discretion of the Organizer.

9. The Organizer reserves the right to carry out verification of the Participant's identity, including proof of identity and registration data. Lack of required documents will result in exclusion from the Giveaway.

10. The Giveaway is not open to persons who:

    1. Have created an account on the Platform earlier than the start date of the Giveaway.

    2. Are employees of the Organizer or their families.

11. In the event of a dispute, proof of identity may be requested.

12. The Organizer reserves the right to exclude from participation in the Giveaway or deprive of the right to the Prize Participants whose actions are contrary to the law, good morals or the Regulations, in particular Participants who:

    1. do not act personally, but through third parties;

    2. use different accounts on the Organizer's Platform to appear in on behalf of/submit the same Participant;

    3. if third-party claims have been made in relation to their comment under Giveaway Post.

13. Participation in the Contest does not require any monetary contribution from the Participants, participation in the Contest is not in any way paid.

 

Article 3: Publication of the Giveaway

 

This Giveaway will be promoted through the social media channels of the Organizer, Founder (zondacrypto, https://www.instagram.com/zondacrypto/), co-organizers and Ambassadors. These Regulations will be accessible on the Organizer’s website https://www.topmarquesmonaco.com.

 

Article 4: Prize

 

1. The prize in the Giveaway is Porsche 911 Carrera S (used), year of first registration 2024, with a market value of EUR 150.000 (“the Prize”). 

2. The specifics of the Prize shall be solely determined by the Organizer.

3. The Prize cannot be exchanged for cash, financial equivalents or replaced for any reason whatsoever. Non-acceptance of the Prize, for any reason whatsoever, shall not give rise to any financial or other consideration.

4. The Prize is non-transferable, non-modifiable and non-refundable, and the Winner will not be entitled to any financial consideration. All costs related to the use of the Prize are the responsibility of the Winner, who may not ask the Organiser to cover these costs.

5. The Winner acknowledges that the country of vehicle registration is the Czech Republic. The cost of re-registering the Prize to the Winner will be covered by the Founder, provided that the Winner provides (at his/her own expense) all legally required documents and information necessary to carry out the re-registration. The re-registration of the Prize will take place exclusively in the name of the Winner, in particular, the registration of the Prize may not take place in the name of any other third party or entity designated by the Winner. The Winner has no right to transfer the Prize to any other person or entity.

6. The Winner acknowledges that accepting the Prize may result in an obligation to pay income tax under applicable laws. The responsibility for paying the income tax will be borne by the Winner, as determined by the Organizer prior to awarding the Prize. The Organizer will provide the Winner with relevant documentation regarding the Prize value, which may be required for tax reporting purposes.

7. This Giveaway is open only to residents of France, Monaco or Corsica. Participants acknowledge that if the Winner resides in a country other than the country where the Prize is awarded, additional taxes, duties, or fees (e.g., import duties or local taxes) may apply. Any such taxes, duties, or fees shall be the sole responsibility of the Winner. The Organizer or the Founder shall not be liable for any costs or delays associated with customs clearance.

8. Participation in this Giveaway is limited to natural persons who are residents of Monaco, France or Corsica and who are acting in a personal capacity. The Organizer reserves the right to disqualify any Participant who fails to meet these criteria.

9. The Winner agrees to indemnify and hold the Organizer and Founder harmless from any claims, liabilities, penalties, costs arising from the Winner’s failure to fulfill their tax obligations under applicable laws. This includes, but is not limited to, income tax, VAT, custom duties, and any reporting requirements.

10. The Organizer reserves the right, in the event of problems beyond its control, or unforeseeable circumstances, to modify the nature of the Prize and to offer a different Prize from that announced, but at an equivalent public price. The Winner will be kept informed of any such changes.

11. The Prize offered will only include what is indicated, to the exclusion of any other supplement / accessory / compensation.

 

Article 5: Terms of allocation of the Prize

 

1. The proper conduct of the Giveaway will be supervised by a Commission appointed by the Organizer in the composition of two persons. One of the members of the Commission is a person appointed by the Founder.

2. The tasks of the Commission include, in particular:

   1. verifying that a given Participant meets all the conditions for participation in the Giveaway,

   2. supervising the proper and impartial conduct of the drawing of the Winner, 

   3. properly documenting the verification of the correct operation of the software used to draw the Winner, 

   4. conducting and documenting the draw that selects the Winner,

   5. handling Participants' complaints.

3. The Winner will be drawn from among all Participants on May 30, 2025 by a person selected by the Commission referred to in Article 5 (1) above, or with the use of appropriate independent software chosen by the Organizer.

4. The Winner will be notified - via email or in direct message on Social Media used by the Winner for participation in the Giveaway - within 2 weeks of the selection and will be invited to Monaco at the Organiser’s expense to collect the Prize.

5. The Organizer or the Founder shall have no liability for a Winner's failure to receive notices due to spam, junk email, or other security settings or for a Winner's provision of incorrect or otherwise non-functioning contact information.

6. If the Winner does not respond within 48 hours of being contacted, they will forfeit the Prize, which will then be re-awarded according to the procedure described in Article 5 (3).

7. Any fraudulent activity or attempted fraud by a Participant will result in disqualification from the Giveaway. The Organiser reserves the right to cancel any suspicious participation (including the use of software that could result in cheating).

8. If the Winner does not claim the Prize within 2 months of being notified, the Prize will be considered unclaimed and will remain the property of the Founder.

9. The Organizer or the Founder shall not be held liable for any consequences resulting from the provision of inaccurate, incomplete, or illegible information due to the Winner’s negligence, including any email communication sent to an incorrect email address.

10. The Prize shall be released on condition that the Winner confirms its receipt by signing the Prize Receipt Protocol, on the basis of which the ownership to the Prize is transferred to the Winner. The Prize Receipt Protocol shall contain the following data of the Winner: name, surname, address, personal identification number (in case of lack of this number, the date of birth and citizenship is taken), and consent to the Organizer's use of marketing materials created with the Winner's participation.

11. The Winner is required to create marketing video material depicting the receipt of the Prize and post it on his/her profile on Instagram and tag the Founder's account (@zondacrypto) in this marketing material. The video material created by the Winner requires approval of the Founder before it will be published on Winner’s social media.

12. The Winner grants the Organizer permission to use their surname, first name, city of origin, photograph, and video footage of the receipt of Prize and its presentation for advertising, promotional, and commercial purposes, in any media, as part of the communication surrounding the Prize and the Founder. This use will not entitle the Winner to any additional compensation, rights, or benefits, other than the awarding of the Prize.

13. The Winner acknowledges that the Prize contains the Founder's advertising elements in the form of graphics, logos and other marketing markings placed on the vehicle body (“Advertising Elements”).

14. The Prize Winner agrees to:

    1. not to remove, cover, alter or modify the Advertising Elements in any way for a period of twelve (12) months from the date of receiving the Prize,

    2. maintaining the Advertising Elements in good technical and aesthetic condition, and in the event of damage beyond the Winner's control, to immediately inform the Founder in order to renew them at the Founder's expense.

15. In the event that the Winner violates any of the obligations set forth in Article 5 (14) above, the Winner shall be obligated to pay to the Founder a contractual penalty in the amount of 30% of the market value of the Prize (as defined in §4 (1) of the Regulations) for each violation. The Founder shall have the right to claim damages in excess of the stipulated contractual penalty on general terms.

16. If the Winner intends to dispose of the Prize before the expiration of the period referred to in Article 5 (12)(a) above, the Winner shall:

    1. inform the purchaser of the obligations under this Article;

    2. conclude in the agreement for the disposal of the Prize provisions transferring the obligations referred to in Article 5 to the purchaser, or

    3. obtain the prior written consent of the Founder to dispose of the Prize without transferring the obligations.

17. The Winner acknowledges that the Prize is also an advertising medium of the Founder, and that its issuance is intended not only to reward the Winner, but also to promote the Founder's brand, which justifies the obligations set forth in this Article.

 

Article 6: Consulting the rules

 

Participation in this Giveaway implies full and complete acceptance of these rules, which are available free of charge on the https://www.topmarquesmonaco.com website.

 

Article 7: Liability

 

1. The Organiser and the Founder may not be held liable for any error in awarding the Prize, or for the impossibility of contacting the Winner due to the provision of inaccurate data by the winner.

2. In the event of force majeure or exceptional circumstances, the Organizer reserves the right to shorten, postpone, extend, modify, or cancel the Giveaway, or to replace the Prize with one of equivalent nature and value. The Organizer and the Founder will not be held liable for any such substitution, and no compensation will be provided to participants.

3. Furthermore, the Organiser and the Founder cannot be held liable, and no recourse may be taken against them, in the event of force majeure (such as strikes, adverse weather conditions, etc.) or events beyond its control (including technical or delivery issues) that may disrupt the Giveaway and/or partially or fully prevent the Winner from receiving their Prize.

4. The Organizer and the Founder shall not be liable for any failure by a Participant to meet their obligations under these Regulations, and the Participant will remain solely responsible for any claims by third parties.

5. Once the Prize has been delivered to the Winner, delivery will be considered complete, and the Winner will assume full responsibility for the Prize. The Organizer and the Founder declines all responsibility for any incidents and/or accidents that may occur during the use or enjoyment of the Prize.

6. The Founder of the Prize, EXPOFER SERVIS HOUSE s.r.o., is solely responsible for providing the Prize as described in these Regulations. However, the Founder shall not be held liable for any risks, obligations, or liabilities related to the Giveaway beyond the delivery of the Prize. In the event of force majeure or circumstances beyond its reasonable control that prevent the delivery of the Prize, the Founder is released from its obligation to deliver the Prize without incurring liability towards the Winner, the Organizer, or any other party.

7. Participants acknowledge that any disputes or claims arising from the Giveaway are to be directed exclusively to the Organiser. The Founder is not responsible for the organization, management, or any other aspect of the Giveaway.

8. The Organiser reserves the right to disqualify Participants found engaging in fraudulent activities, manipulation, or breach of these Regulations, without prejudice to any other rights or remedies available under the law.

9. The Participant is solely responsible for the content of the contest answer (comment) provided under the Giveaway post, transmitted to the Organizer on social media, and in this respect releases the Organizer from any liability to third parties whose rights have been violated by publishing the solution to the contest task on its portals or by using the solution in a manner inconsistent with these Regulations.

10. The Organizer and the Founder are not responsible for the Winner's claims related to the expectations of the Prize.

11. The Organizer and the Founder shall not be liable in any way to the Winner for the Winner's inability to use the Prize.

 

Article 8: Data protection

 

1. The Organiser of the Giveaway is the data controller for the purposes of processing personal data provided by participants. The Organiser is committed to ensuring that all personal data is processed in compliance with the provisions of the General Data Protection Regulation (EU) 2016/679 ("GDPR") and applicable national laws.

2. The information collected by TM EVENTS directly from you, is for the purpose of participating in the Giveaway, and is based on your consent.

3. This information is for the exclusive use of TM EVENTS, its subcontractors and any partners. In the case of canvassing operations, the data will not be used for more than 3 years or after an objection on your part. The personal information collected by the organizing company will be used to manage the Giveaway, to contact the Winners and grant the Prize.

4. In accordance with Regulation (EU) 2016/679 on the protection of personal data, the Participant has the following rights over its data: right of access, right of rectification, right to erasure (right to be forgotten), right to object to prospecting, right to limitation of processing, right to portability. The Participant can also define directives concerning the conservation, deletion and communication of its personal data after its death. The Participant may, for reasons relating to its situation, object to the processing of processed data.

5. To exercise your rights, please write to TM EVENTS - SERVICE CONCOURS - 41 avenue Hector Otto, 98000 Monaco, indicating your full name and e-mail address.

6. Participant’s request must be signed and accompanied by a photocopy of an identity document bearing Participant’s signature and specify the address to which the reply should be sent. A reply will be sent within 1 month of receipt of the request.

7. The Winner authorizes any verification of his/her identity and address.

 

Article 9: Complaints and Disputes

 

1. Complaints related to participation in the Giveaway, the Participant may submit electronically via [email protected].

2. Complaints should be submitted immediately after the occurrence of an event that raises concerns of the Participant taking part in the Giveaway, but no later than within 7 days from the end of the Giveaway (for complaints sent by registered mail, the postmark date is decisive).

3. The present rules are subject to Monegasque law. All the provisions of the present regulations form the law between the parties.

4. In the event of a dispute, the courts of Monaco shall have sole jurisdiction.

 

Article 10: Miscellaneous 

 

1. These Regulations are the only document setting out the detailed rules of the Giveaway.

2. By entering this Giveaway, the Participant understands and agrees that the Organizer, anyone acting on behalf of the Organizer, and the Organizer’s licensees, successors, and assigns, shall have the right, where permitted by law, to use in any media now known or hereafter developed, in perpetuity and throughout the world, without limitation, the Participant’s entry, name, and statements about the Giveaway for news, publicity, information, trade, advertising, public relations, and promotional purposes without any further compensation, notice, review, or consent.

3. By participating in the Giveaway, the Participant simultaneously declares that he/she is the sole creator of the comment published under the Giveaway Post and that he/she has full personal and property copyrights to the same.

4. The Organizer is entitled to change the content of the Regulations, both in part and in whole, at any time. Participants will be informed of any planned changes to the Regulations through an adequate communication channel.

5. If the Participant does not accept the changes to the Regulations, he/she should withdraw from participation in the Giveaway.

6. Entering the Giveaway after the Regulations have been amended shall be deemed acceptance of the new Regulations.
